📜 Digz Placements – Detailed Terms and Conditions for Recruitment Services

These Terms and Conditions (“Terms”) govern the relationship between Digz Placements (“the Company”) and job seekers (“Candidates”) utilizing our placement services, as well as the client organizations (“Clients”) engaging us for recruitment solutions.

 

1. Acceptance and Service Overview

 

  • Binding Nature: By registering as a Candidate, submitting a resume, or by a Client issuing a Job Order or engaging our services, both parties agree to be bound by these Terms and the Privacy Policy.

  • Agency Role: The Company acts as a Recruitment Agency or Placement Consultant. We do not act as the employer of the Candidate, and we are not responsible for the terms of employment offered by the Client.

 

2. Terms for Candidates

 

  • Data Accuracy: Candidates warrant that all information provided in their resume, application forms, and during interviews is true, accurate, and complete. Providing misleading or false information is a material breach of these Terms.

  • Job Submissions: By providing your resume, you grant the Company permission to submit your profile to potential Clients for relevant job openings.

  • Confidentiality: Candidates must maintain the confidentiality of any information shared by the Company or the Client, including job descriptions, salary structures, or business-sensitive details.

  • No Guarantee: The Company provides job referral services but does not guarantee job placement, interview calls, or success in any hiring process. All hiring decisions are made solely by the Client.

 

3. Terms for Client Organizations

 

  • Job Orders: Clients must provide accurate and detailed job descriptions, salary ranges, and required qualifications.

  • Fees: Client fees for placement services will be detailed in a separate, executed Client Service Agreement or Fee Schedule. Fees are typically based on a percentage of the Candidate’s annual gross salary.

  • Payment: Fees are usually payable upon the Candidate’s acceptance of the offer or upon the Candidate’s joining date. Specific payment terms will be set forth in the Fee Schedule.

  • Guarantee/Replacement: If a placed Candidate voluntarily leaves or is dismissed for cause (not performance issues) within a specified guarantee period (e.g., 90 days), the Company may offer a free replacement search, as detailed in the Service Agreement.

  • Direct Hire Protection: If a Client interviews a Candidate referred by the Company and subsequently hires that Candidate (in any capacity) within twelve (12) months of the last referral date, the full placement fee will be immediately due to the Company.

 

4. Intellectual Property and Confidentiality

 

  • Confidential Information: Both Parties agree to hold in strictest confidence any proprietary or confidential information received from the other party (e.g., Candidate data, Client organizational charts, salary information).

  • Usage: Confidential information shall only be used for the sole purpose of carrying out the recruitment and placement services.

 

5. Limitation of Liability and Indemnity

 

  • Candidate Suitability: The Company screens Candidates based on the information provided to us. However, the Client is solely responsible for conducting their own final interviews, background checks, and due diligence prior to offering employment. The Company is not liable for the conduct, performance, or suitability of any placed Candidate.

  • Maximum Liability: The Company’s total liability to the Client for any claim arising out of these Terms shall not exceed the total fees paid by the Client for the specific placement giving rise to the claim. The Company is not liable for any indirect, incidental, or consequential damages.

 

6. Governing Law and Dispute Resolution

 

These Terms and any dispute or claim arising out of the provision of services shall be governed by and construed in accordance with the laws of [Insert the Country/Jurisdiction, e.g., India]. The parties agree that the courts located in [Insert the relevant city, e.g., Mumbai] shall have exclusive jurisdiction over any such dispute.
